Terms of Service
Last updated November 5, 2026
These Terms of Service (“Terms”) are a contract between you and NG Technology LLC, a California limited liability company (“NG Technology LLC”, “we”, “us”). They govern your use of QuickReview: the merchant review platform, store QR code generation, printable poster downloads, AI review draft generation, merchant dashboard, and related tools and support (together, the “Service”).
1. How you agree
You agree to these Terms when you sign up for an account, subscribe to a plan, or check the box that accepts them during checkout. If you do not agree, do not subscribe or use the Service. “You” and “Customer” mean the business you subscribe for, and the person who subscribes for it.
Our Privacy Policy explains how we handle personal information. Our Refund Policy sets forth our cancellation and refund rules. You agree to these Terms by selecting the agreement checkbox during Stripe Checkout, which is recorded by Stripe. We store the associated Stripe Checkout Session identifier and timestamp; we do not store separate terms version numbers.
2. Who may use the Service
The Service is intended strictly for commercial and business use by business owners, managers, and authorized representatives, not for personal, family, or household use. By subscribing or using the Service, you confirm that you are at least 18 years old, that you operate a lawful business enterprise, and that you possess full authority to bind that business to these Terms.
3. The Service
QuickReview enables businesses to collect authentic customer reviews by providing custom QR touchpoints and AI-assisted drafting tools that customers can personalize before posting directly to Google. A subscription includes:
- access to the merchant dashboard to configure store locations, manage place identifiers, view scan and draft analytics, and customize review prompts;
- unique QR codes, links, and high-resolution printable posters for each active registered store;
- hosted review landing pages where customers generate, customize, and copy suggested review drafts to Google;
- the monthly AI review draft quotas associated with your active plan.
4. Your account
You sign in to the merchant dashboard using your Google account via Google OAuth. You are responsible for safeguarding your Google account credentials. Anyone with access to your Google account can access your merchant dashboard. Notify us immediately at the address in Section 20 if you suspect unauthorized access. You remain responsible for all activities occurring under your account.
5. Free Trial, subscription, and payment
- Pricing. The Service is billed on a recurring monthly subscription at $29 per store per month. The subscription quantity equals the total number of active, unarchived stores in your account.
- Free Trial. A new subscription begins with a 14-day Free Trial. A valid payment card is required at sign-up, but nothing is charged during the trial. You may register up to 3 stores during the Free Trial. Your account receives 600 AI review drafts in total during the trial period, shared by all of its stores; drafts a store has used still count after it is archived.
- Subscription renewal. When the Free Trial concludes, the subscription automatically renews at $29 per active store per month until cancelled. You authorize us, through our payment processor Stripe, to charge your designated payment method at each monthly renewal date.
- Monthly quotas. Paid stores receive 1000 AI review drafts per store during each monthly billing cycle. Quotas reset at the start of each billing cycle and unused drafts do not roll over to subsequent cycles.
- Price changes. We will give you notice by email at least 30 days before any price change takes effect. Any change applies from your next billing period following the notice, and you may cancel prior to the effective date.
- Receipts and billing portal. Stripe issues billing receipts and payment notifications. You can update your payment method, inspect invoices, and cancel your subscription anytime via the Stripe Customer Portal accessible from your dashboard.
6. Cancellation and refunds
You may cancel your subscription at any time through the merchant dashboard or the Stripe Customer Portal. Cancellation takes effect at the end of your current billing period. Refunds are not prorated, and we do not issue refunds for the remainder of that billing period. Stores added mid-cycle are prorated: a store added or restored during a paid billing period is charged for the rest of that period on your next invoice, except a store archived and restored within the same period, which is already paid for that period.
Cancellation during the 14-day Free Trial incurs no charge. Archiving a store mid-cycle removes it from future renewals, but no prorated refund is issued for the current period. If a second checkout creates a duplicate subscription, we cancel it and automatically refund its payments in full; a duplicate still in its Free Trial has charged nothing, so it is only cancelled. Other duplicate charges, or charges made after a subscription has ended, are refunded in full upon verification. Comprehensive refund terms are detailed in our Refund Policy.
7. When a subscription ends
- Grace period. If a recurring payment fails, your store QR codes and review pages remain operational for a grace period of 7 days. Updating your payment method during this period keeps your subscription active without disruption.
- Suspension. If payment is not completed after the grace period, or when a cancelled subscription reaches the end of its billing cycle, AI drafting is paused. Store profiles and settings are retained for 30 days, during which you may reactivate your subscription at any time. We may also suspend or terminate access to the Service if your account materially breaches these Terms.
- Deletion. After 30 days of suspension, we may permanently delete store profiles, configuration data, and draft analytics from our systems.
8. Your content and store profiles
You retain ownership of the business names, addresses, descriptions, and custom prompts you provide for your stores (“Your Content”). You grant NG Technology LLC a non-exclusive, worldwide license to host, store, and process Your Content solely to the extent necessary to provide the Service.
You represent and warrant that you hold all necessary rights to Your Content and that it is accurate, truthful, and complies with all applicable laws and regulations.
9. Review integrity and prohibited practices
Customer reviews must reflect the genuine, independent opinions and experiences of your visiting patrons. Reviews are published directly and voluntarily by end-user customers onto Google under Google's own Terms of Service and Maps User Contributed Content Policies. QuickReview provides drafting assistance solely to visiting customers; we do not post reviews on a customer's behalf, guarantee that any customer will submit a review, or control whether Google approves, displays, or removes any review.
Compliance with Google policies and FTC rules. You represent, warrant, and agree that your use of the Service strictly complies with Google review policies and all applicable laws and regulatory rules, including the Federal Trade Commission (FTC) Trade Regulation Rule on the Use of Consumer Reviews and Testimonials (16 CFR Part 465).
Prohibited practices. You expressly agree that you will not:
- engage in “review gating” or conditional filtering by selectively soliciting reviews only from customers presumed to be satisfied, or by discouraging, filtering, or suppressing negative reviews;
- offer, promise, or provide money, discounts, gifts, free merchandise, loyalty points, or any other incentives in exchange for submitting a review or in exchange for positive star ratings;
- dictate, require, or pressure customers to write specific review content or submit predetermined ratings;
- pressure, coerce, or demand that patrons complete or publish a review on-site or in your presence; or
- create, fabricate, purchase, commission, or solicit fake, deceptive, or non-genuine reviews, including reviews from individuals who did not have an authentic customer experience with your business.
A breach of this Section may result in immediate suspension or termination of your account. Any refunds are governed by our Refund Policy and applicable law. You remain solely responsible for your review practices and compliance, and agree to defend and indemnify NG Technology LLC pursuant to Section 16.
10. AI review drafts
QuickReview uses artificial intelligence to generate suggested review drafts based on options and feedback selected by visiting customers. You and your visiting customers acknowledge and agree that:
- review drafts are automated suggestions and may be inaccurate, incomplete, or contain factual errors;
- visiting customers maintain sole and absolute discretion to edit, modify, rewrite, or reject any suggested draft;
- visiting customers decide independently whether to publish a review to Google; we do not post reviews on a customer's behalf and do not transmit reviews to Google; and
- we make no representations, warranties, or guarantees regarding the volume of reviews your business will receive, your average star rating, or your local search and map ranking on Google.
11. Our software and intellectual property
We own all right, title, and interest in and to the Service, including its software, algorithms, user interfaces, branding, and design tokens. Your subscription provides an active, revocable, non-exclusive license to use the Service during your subscription term. It does not transfer any intellectual property rights or source code to you.
12. Copyright complaints (DMCA)
We respond to notices of claimed copyright infringement under the Digital Millennium Copyright Act (17 U.S.C. § 512). Our designated agent for copyright notices may be contacted at:
Email: help@support.ng-technology.org
A valid notice must include identification of the copyrighted work, the infringing material, contact information of the complainant, and statements of good-faith belief and accuracy under penalty of perjury.
13. Beta features and service availability
Portions of the Service may be offered in Beta. Features may be modified, enhanced, or discontinued. While we work diligently to maintain high availability, the Service is provided without guaranteed uptime service level agreements.
14. Disclaimers
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, NG Technology LLC disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or bug-free.
Not affiliated with or endorsed by Google. QuickReview is an independent service provided by NG Technology LLC and is not affiliated with, endorsed by, or sponsored by Google LLC or Alphabet Inc. Google and Google Maps are registered trademarks of Google LLC.
15. Limitation of liability
To the maximum extent permitted by applicable law:
- neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost data;
- our aggregate liability arising out of or relating to these Terms or the Service is limited to the total fees paid by you to us for the Service during the 12 months immediately preceding the event giving rise to liability.
16. Indemnification
You will defend and indemnify NG Technology LLC against any third-party claims, liabilities, damages, and reasonable legal expenses arising from Your Content, your use of customer reviews, or your violation of these Terms or applicable law.
17. Changes to these Terms
We may update these Terms periodically. We will provide notice of material changes at least 30 days before they take effect by email or prominent notice in the merchant dashboard. Continued use of the Service after that date constitutes your agreement to the updated Terms.
18. Ending the subscription
You may end your subscription at any time by cancelling in the billing portal. We may terminate your subscription if you materially breach these Terms. Sections 8, 10, 11, 14, 15, 16, 19, and 20 survive termination.
19. Disputes and governing law
California law governs these Terms, without regard to conflict-of-law principles. Any dispute or claim arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Los Angeles County, California, and both parties consent to their venue and jurisdiction. Prior to filing court proceedings, the parties agree to negotiate in good faith for at least 30 days to resolve any dispute amicably.
20. General and Contact
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and NG Technology LLC. If any provision is held unenforceable, the remaining provisions continue in full force.
